Influencer Membership Agreement

This Influencer Membership Agreement (“Agreement”) outlines the terms governing your participation in the SimplyTicks network. By clicking “OK” or a similar confirmation button, you acknowledge and agree to be bound by this Agreement, effective as of the date of your acceptance. We recommend printing or saving a copy of this Agreement for your records using your browser’s print function.

Important: If you do not agree with the terms of this Agreement or the related commission structures, you should not participate in the SimplyTicks network. This Agreement includes important appendices (Appendices 1–4), which should be reviewed carefully.

This Agreement is between you (“you” or “Influencer”) and SimplyTicks, a limited liability company organized under the laws of Delaware, United States. However, depending on your place of residence or business headquarters, the agreement may be between you and a regional affiliate of SimplyTicks as follows:

European Economic Area (EEA) or Switzerland: The Agreement is with SimplyTicks Interaction INC., governed by Internet Marketing Europe Limited.

Australia: The Agreement is with SimplyTicks and governed by Australian law.

Asia-Pacific Countries (China, Indonesia, Hong Kong, Japan, India, South Korea, Malaysia, the Philippines, Pakistan, Singapore, Taiwan, Thailand, or Vietnam): The Agreement is with SimplyTicks Australia and subject to local laws.

Brazil: The Agreement is with SimplyTicks , a Brazilian limited liability company.

If you are accepting this Agreement on behalf of a company or legal entity, you confirm that you are authorized to bind that entity to these terms.

This Agreement defines the relationship between you and SimplyTicks , including compliance with regional policies, such as the Brazilian Payment Policy and general Network Policies, accessible through the official SimplyTicks platform.

1. JOINING THE NETWORK

1.1 Registration

To join the SimplyTicks network, you must provide accurate and complete registration details. You are responsible for keeping this information up to date.

1.2 Verification

SimplyTicks reserves the right to verify your registration information at any time. If any information is found to be false or misleading, we may suspend your account, withhold commissions, or take other corrective actions.

1.3 Eligibility

You must be at least 18 years old and have reliable internet access and appropriate equipment to participate in the network.

1.4 Business Use Only

As an influencer, you acknowledge that SimplyTicks provides access to the network as a free service for business purposes only. You agree not to use the platform for personal or consumer-related purposes.

2. DEFINITIONS

The following key terms are used throughout this Agreement:

Advertiser: A business or individual seeking customer engagement through digital marketing.

Content: Any form of media, including text, images, audio, video, software, and data.

Corporate Affiliate: Any entity under shared control with another, where “control” means the authority to direct policies or management.

End-User: A consumer or potential customer engaging through the network.

Engagement: Any form of tracked interaction with the network, such as clicks, leads, or purchases.

Entity: A legally recognized business or organization.

Intellectual Property Rights: Rights including, but not limited to, copyrights, trademarks, patents, and trade secrets.

Link: A unique digital code or script that connects users to advertisers or the network.

Network: The influencer marketing system managed by SimplyTicks .

Person: An individual or legal entity.

Prohibited Activity: Any action deemed illegal or against SimplyTicks policies, such as fraud, discrimination, or IP infringement.

Qualifying Link: A tracking-enabled link provided by or approved by SimplyTicks .

Site: Any digital platform, page, or asset related to SimplyTicks or its partners.

Tracked Activity: Measurable user actions, such as clicks or purchases, recorded by SimplyTicks systems.

Web/Internet/Online: Refers to the global network of connected computers and websites.

3. PARTICIPATION

3.1 Voluntary Participation

Your involvement in the SimplyTicks network is entirely voluntary. You may withdraw at any time. SimplyTicks also reserves the right to approve or reject applications at its sole discretion.

3.2 No Purchase Required

SimplyTicks does not sell products or services to influencers and does not require any purchases for participation.

3.3 Prohibited Conduct

You may not engage in any activities that violate this Agreement or the platform’s policies.

4. QUALIFYING LINKS

4.1 Authorized Use Only

Only qualifying links provided or approved by SimplyTicks may be used. These links must remain unaltered and be used in their original form.

4.2 Genuine Engagement

You agree to use qualifying links only to generate legitimate user engagement. Any use of fraudulent, automated, or deceptive practices is strictly forbidden.

4.3 Final Determinations

SimplyTicks has the sole authority to determine whether a tracked activity qualifies for commission. These decisions are final and binding.

4.4 Cooperation on Link Placement

You agree to cooperate with any requests from SimplyTicks regarding the placement, modification, or removal of qualifying links.

4.5 No Alterations

You may not alter, obstruct, or interfere with the functionality or content of qualifying links without prior written consent from SimplyTicks .

4.6 Link Termination

Qualifying links may be discontinued by either SimplyTicks or the advertiser at any time. Once a link is deactivated, you must promptly remove it from all your platforms.

4.7 Content Integrity

You are not permitted to modify any content provided by advertisers unless you have obtained their explicit written permission.

4.8 Discontinuation by Influencer

You may stop using qualifying links at any time by removing them from your channels. However, your obligations under this Agreement will remain in effect for any prior activity or remaining responsibilities.
